1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and QPharma Research ("Company", "we", "us", or "our"), concerning your access to and use of the QPharma Research website as well as any other media form, linked pages, or applications related, linked, or otherwise connected thereto (collectively, the "Site").

You agree that by accessing the Site or utilizing our biosourcing and clinical research services, you have read, understood, and agreed to be bound by all of these Terms and Conditions. If you do not agree with all of these terms, then you are expressly prohibited from using the Site and our services.

2. Use of Services & Procurement

QPharma specializes in the ethical procurement of human biospecimens and the execution of clinical trials. The use of our specific services is subject to additional, specific contractual agreements (e.g., Material Transfer Agreements, Master Service Agreements). However, general rules apply to all inquiries and engagements through our Site:

• Intended Use: Biological materials and clinical data provided by QPharma are intended exclusively for verified, legitimate in-vitro research and clinical trial purposes. They are explicitly not for direct use in human subjects.
• Compliance: You agree to comply with all applicable local, state, national, and international laws, including HIPAA, GDPR, and IRB/IEC regulations, regarding the handling of clinical data and biospecimens.
• Accuracy: You agree to provide true, accurate, current, and complete information when requesting feasibility assessments or biospecimen cohorts via our forms.

3. Intellectual Property Rights

Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights.

No part of the Site and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

4. User Representations

By using the Site, you represent and warrant that:

• You have the legal capacity and you agree to comply with these Terms and Conditions.
• You are not a minor in the jurisdiction in which you reside.
• You will not access the Site through automated or non-human means, whether through a bot, script or otherwise.
• You will not use the Site for any illegal or unauthorized purpose.
• Your use of the Site will not violate any applicable law or regulation.

5. Limitation of Liability

While we strive to ensure the accuracy and reliability of all scientific and operational claims on our platform, the information is provided on an "as-is" and "as-available" basis without warranties of any kind.

6. Governing Law & Jurisdiction

These Terms and Conditions and your use of the Site are governed by and construed in accordance with the laws of the Dominican Republic, without regard to its conflict of law principles.

Any legal action or proceeding related to your access to or use of the Site shall be instituted exclusively in the competent courts located in Santo Domingo, Dominican Republic. You agree to submit to the jurisdiction of, and agree that venue is proper in, these courts in any such legal action or proceeding.
